Description

This module aims to give students an understanding of the principles of commercial law within a common law system and how judicial discretion is used in the exercise of them. It will briefly examine the history of commercial law and its role and purpose, before considering the principles of commercial law. It will then critically examine the exercise of judicial discretion when seeking to apply those principles to a number of common commercial transactions thereby evaluating the conflicts, inconsistences and tensions between the principles and how the judiciary prioritises and balances the competing principles in different circumstances. Transactions/issues considered could include, for example, the interpretation of contractual terms, the classification of transactions, limitations and restrictions of liability and security transactions.
